1. Purpose
Evaluate a potential investment, strategic alliance, or transaction.
2. Confidential Information
Includes business plans, financials, forecasts, investor materials, transaction terms, customer/partner lists, analytics/valuations/models, and the existence of discussions.
3. Non-Disclosure & Use
Use solely for the Purpose; do not disclose without written consent; limit access to advisors under similar confidentiality obligations; no unnecessary copying/distribution.
4. No Solicitation / Circumvention
No contact with partners/clients/investors or exploitation of opportunities derived from Confidential Information without prior written consent.
7. Term
Two (2) years from the Effective Date.

10. Electronic Acceptance
